What we promise. What we ask in return.
These Terms govern your use of the dyne platform, the Pulse product, and our marketing properties at dynenow.com (together, the "Services"). They form a contract between you (the customer) and dyne digital and dyne FZ-LLC.

02Access & account responsibility
We grant you a non-exclusive, non-transferable right to access and use the Services for your business purposes during the term of the Agreement. You are responsible for everything that happens under your account, including the actions of your staff and any third-party integrations you authorize.
You must keep credentials confidential, enable multi-factor authentication for admin users, and notify us at info@dyne-app.com within 24 hours of any suspected compromise.
03Fees & payment
Fees are set out on your order form or, for self-serve plans, on the dyne pricing page in effect when you signed up. Unless your order form says otherwise:

Platform fees are billed monthly in advance, in your local currency, and are non-refundable except where required by law.

Transactional fees (interchange, acquirer, scheme) pass through at cost. dyne does not add a percentage markup.

Pulse subscriptions follow the published Pulse rate card; tier changes take effect at the next billing cycle.

Late payment accrues interest at 1.5% per month or the maximum allowed by applicable law, whichever is lower.

You will reimburse reasonable costs of collection (including legal fees) for invoices unpaid more than 60 days.
04Your data
You retain all rights, title, and interest in the data you put into the Services ("Customer Data"). You grant dyne a limited licence to host, process, transmit, and display Customer Data solely to provide the Services and to compute anonymized network benchmarks across our customer base.
We never train AI models on personally identifiable Customer Data. Aggregated, anonymized signals (e.g. "weekday lunch covers across casual-dining peers in Riyadh, indexed") are used to make Pulse's recommendations smarter for every customer in the network.
On termination, we return Customer Data in a portable format on request, then delete it within 90 days — except where law requires longer retention (see the Privacy Policy, Section 07).
05Acceptable use
You will not, and will not allow anyone else to:

Use the Services to break the law, infringe rights, or process data you have no right to process.

Attempt to reverse-engineer, decompile, or extract the underlying models, weights, or proprietary signals that power Pulse and the dyne AI brain.

Send malware, run automated scrapers, or stress-test the Services without our prior written consent.

Resell, white-label, or sublicense the Services to a third party without a written reseller agreement.

Use the Services to send unsolicited marketing in violation of UAE Federal Law on Cybercrime, KSA Anti-Cyber Crime Law, Egypt Anti-Cyber and IT Crimes Law, or other applicable spam regulations.
06Uptime & service level
The dyne platform targets 99.95% monthly uptime for the payments and operations APIs, measured at the regional load balancer. Pulse targets 99.9% for the WhatsApp brain. Scheduled maintenance is announced at least 7 days in advance and performed outside MENA service hours where possible.
If we miss the SLA in a given month, you receive service credits per the SLA schedule in your order form. Service credits are the sole and exclusive remedy for downtime.
07AI & recommendations
Pulse uses statistical models to surface insights, recommendations, and forecasts. Output is probabilistic. Pulse is a tool to inform decisions — not a substitute for the operator's judgement, regulatory advice, or legal counsel.
You are responsible for reviewing any operational change Pulse suggests before applying it. Where Pulse takes an action on your behalf (e.g. scheduling a campaign), it does so under the rules and rate limits you set in the platform.
08Third-party integrations
The Services connect to third-party platforms — POS providers (Foodics, Oracle Micros, Syrve, and others), payment processors (Geidea, Paymob, Network, MPG, APS), reservation systems, and accounting tools. Those platforms are governed by their own terms.
dyne is not responsible for actions, errors, or downtime of third-party platforms. We notify you of integration changes that materially affect the Services.
09Liability
To the maximum extent permitted by law, dyne is not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.
Our total cumulative liability under the Agreement, in any twelve-month period, is capped at the fees you paid us in that period. This cap does not apply to (a) your obligation to pay fees, (b) breaches of confidentiality, or (c) liability that cannot be limited under applicable law.
10Term & termination
The Agreement starts on the effective date on your order form (or, for self-serve, when you create your account) and continues until terminated.
Either party may terminate for material breach with 30 days' written notice if the breach is not cured in that period. dyne may suspend the Services without notice for non-payment after 30 days, or immediately for a security risk or violation of Section 05.
11Governing law & disputes
The Agreement is governed by the laws of the United Arab Emirates. Disputes are resolved by binding arbitration in Dubai, in English, by a single arbitrator. Either party may seek interim or injunctive relief in any court of competent jurisdiction.
Customers operating exclusively in KSA may, at their option, elect KSA courts and Saudi law as the governing forum. Customers operating exclusively in Egypt may elect Egyptian courts and Egyptian law.
12Changes to these Terms
We may update these Terms when the Services or the law changes. Material changes are emailed to account admins at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
